Sustainable Energy Announces $3 Million Equity Financing
Calgary, Alberta - April 18, 2007 - Sustainable Energy Technologies Ltd. ("Sustainable Energy" or the "Company") is pleased to announce that, subject to regulatory acceptance, D & D Securities Company, (the ("Agent") of Toronto, Ontario has been engaged as agent with such other agents as may mutually agreed upon, to offer a brokered private placement on a reasonable best efforts basis, of up to $3 Million in Units at a subscription price of $0.20 per Unit.
Each Unit will consist of one common share and one-half of one common share purchase warrant with one whole warrant entitling the holder to purchase an additional common share at an exercise price of $0.30 for the period of eighteen months from closing. The Company has also granted the Agent an over-allotment option, exercisable in whole or in part for a period of 2 days following Closing, to purchase up to an additional 5 million Units at the same offering price indicated above. Closing is expected to occur on or about May 9, 2007
All securities issued pursuant to these private placements, including any securities issued in payment of commissions or finders' fees, will be subject to a four-month hold period, commencing at closing.
The net proceeds of the private placement will be used to fund the acquisition of additional production test equipment, to build component and finished product inventory, and for general corporate purposes.
